CINDERBLOCK TERMS AND CONDITIONS

1. ABOUT THESE TERMS

These Terms and Conditions (“Terms”) govern access to and use of the Cinderblock website and its subdomains, web and mobile applications, free tools, and related services (collectively, the “Services”). The Services are provided by Cinderblock Inc., 3511 W Commercial Blvd., Suite 307, Fort Lauderdale, FL 33309, USA (“Cinderblock,” “we,” “us,” or “our”).

The “Application” means our account-based business software. “Free Tools” means our separate browser-based document generators, templates, and calculators. A “Customer” is the business or sole proprietor that registers for or subscribes to the Application. “Authorized Users” are people the Customer permits to use its account. A “Recipient” is someone who receives a document or payment link through the Application, such as the Customer’s client or vendor. “You” means the person or business using the relevant Service.

By registering for an account, submitting a subscription order, or otherwise affirmatively accepting these Terms, you agree to them. If you accept on behalf of a business, you represent that you are authorized to bind that business. Where acceptance is requested in a Free Tool or Recipient workflow, your acceptance applies to the provisions relevant to that use. If you do not agree, do not register, purchase, or accept the relevant Service.

Subscription orders, including plan and billing selections confirmed during checkout, form part of the agreement. These Terms govern unless an order expressly states otherwise. A separate data-processing agreement, if entered into, governs the processing it covers and prevails over conflicting provisions of these Terms for that processing.

Our Privacy Policy at https://cinderblock.com/privacy-policy explains how we handle personal information. Our Cookie Policy at https://cinderblock.com/cookie-policy explains relevant cookies and browser storage. Acceptance of these Terms does not itself constitute consent to optional analytics or marketing.

2. BUSINESS USE AND ELIGIBILITY

The Application is intended exclusively for business use, including use by sole proprietors. Customers must use it in connection with their trade, business, or profession. A business-purpose declaration does not waive rights that applicable law makes nonwaivable.

People registering accounts, purchasing subscriptions, or accepting these Terms must have legal capacity to enter into the agreement. Authorized Users must be authorized by the Customer and meet any applicable legal requirements for their use.

Recipients may be individuals acting in a personal capacity. Receiving, reviewing, signing, or paying a Customer’s document does not make a Recipient a Cinderblock subscriber or responsible for the Customer’s subscription fees.

You may not access the Services where doing so would violate applicable export controls, sanctions, or other laws. Availability worldwide does not mean the Services satisfy every jurisdiction’s industry-specific requirements.

3. ACCOUNTS, ADMINISTRATORS, AND ACCESS

Provide accurate registration and billing information and keep it current. Multiple accounts are permitted, but each registered account requires a unique email address.

Keep login credentials confidential. Individual logins must not be shared. Notify us promptly if you become aware of unauthorized access or compromised credentials. You are responsible for your Authorized Users and for reasonably protecting account credentials.

The Customer controls its business account. Its authorized owner or administrators may invite and remove Authorized Users, assign permissions, and manage business records and settings within the available features. Records entered by an Authorized User on the Customer’s behalf remain part of the Customer’s account and are subject to the Customer’s control. Removal of an Authorized User does not require deletion of the business records they entered.

The Customer is responsible for determining who may act on its behalf, configuring access appropriately, and ensuring Authorized Users comply with these Terms. We may request reasonable evidence of identity or authority before changing account control, providing exports, or acting on deletion instructions. We are not responsible for resolving internal ownership or employment disputes between a Customer and its personnel.

4. USE OF THE APPLICATION

During your trial or subscription, and subject to the applicable plan and these Terms, we grant you a limited, nonexclusive, nontransferable right to access and use the Application for your business through your Authorized Users.

Features, usage limits, supported integrations, and compatibility depend on the applicable plan and Service. Features described as planned, upcoming, or in development are not commitments to deliver them by a particular date. Purchase decisions should be based on functionality currently available.

We may maintain, update, or modify the Services, and may restrict features where needed for security, fraud prevention, legal compliance, or operational reasons. Section 14 addresses suspension and discontinuation. Nothing in these Terms establishes a guaranteed uptime percentage, service-credit program, or fixed support response time.

You are responsible for the devices, connectivity, software, and settings needed to access the Services.

5. TRIALS

Trial duration and available features are described when you register. We may restrict particular functions, including email sending and payment processing, to prevent fraud, spam, or other abuse.

If you do not select a paid plan and provide a payment method, the trial expires without an automatic subscription charge, and Application access may end.

If you select a paid plan and provide a payment method during the trial, you authorize the selected paid subscription to begin automatically when the original trial expires and authorize the corresponding charge. Unless canceled, the subscription then renews under Section 6. Your plan selection and checkout details identify the subscription price, billing interval, and start of paid billing.

You may cancel the scheduled subscription using the Application’s subscription controls before the trial expires to avoid the first subscription charge.

6. SUBSCRIPTIONS, FEES, AND CANCELLATION

6.1 Subscription charges and renewal

Subscription fees, included seats, additional-seat prices, billing intervals, and applicable taxes are shown during purchase. Fees are charged in advance for the selected billing period unless expressly stated otherwise. Annual subscriptions are billed for the annual period, even where prices are displayed as a monthly equivalent.

Subscriptions renew automatically for the same billing interval unless canceled before renewal or otherwise disclosed and agreed during purchase. You authorize our payment provider to charge your payment method for subscription fees, renewals, authorized upgrades, and additional seats.

Subscription payments are processed through Stripe. Subscriptions cannot be purchased through the mobile applications’ app-store billing systems.

You are responsible for applicable taxes other than taxes on Cinderblock’s net income. Applicable taxes and charges will be disclosed or itemized as required by law.

6.2 Additional seats and removed users

Adding users beyond the seats included or already paid for incurs the applicable prorated seat charge for the remainder of the current billing period.

Removing a user does not generate a refund or prorated credit. The paid seat remains available for reassignment during the remainder of that billing period. A reduction in the billable seat count takes effect at the upcoming renewal in accordance with the seat changes recorded in the Application.

6.3 Plan changes

Upgrades take effect immediately and incur a prorated charge for the remainder of the current billing period. Downgrades take effect at the end of the current billing period and do not generate a prorated refund or credit. Changes affecting the billing interval or other order terms are governed by the details disclosed and accepted when making the change.

6.4 Cancellation

You may cancel automatic renewal using the subscription controls inside the Application. Cancellation must be completed before the next renewal to prevent that renewal charge. If you cannot access the cancellation controls, contact us for assistance.

Cancellation takes effect at the end of the current paid billing period. You retain access through that period unless access is suspended or terminated under these Terms. Cancellation does not automatically delete your account data.

Except where applicable law requires otherwise, subscription fees are nonrefundable, and we do not provide refunds or credits for unused time, unused seats, or a Customer’s decision to stop using the Application.

6.5 Price changes

Increases to recurring subscription or seat prices take effect at renewal, not during an already-paid billing period. We will give at least 30 days’ advance notice by email to the Customer’s account contact before applying an increase. You may cancel before the affected renewal if you do not accept the new price.

This notice requirement does not prevent charges for upgrades or additional seats you request, or changes to taxes required by law.

6.6 Failed payments

Keep a valid payment method and accurate billing information on file. Failed payments may be retried by the payment provider and may result in restricted or suspended access. These Terms do not establish a fixed retry schedule or guaranteed grace period. Amounts properly due remain payable.

We will provide renewal and billing notices where required by applicable law. These Terms do not promise a reminder before every renewal.

7. CUSTOMER DATA, OWNERSHIP, AND CONFIDENTIALITY

“Customer Data” means business records and content submitted to, stored in, or generated through the Application on the Customer’s behalf, including customer and vendor records, job details, photos, files, estimates, invoices, forms, timesheets, and Recipient records.

As between the Customer and Cinderblock, the Customer retains its rights in Customer Data. We do not acquire ownership of it. This does not affect another person’s intellectual property or privacy rights.

You grant us permission to host, process, reproduce, transmit, display, and otherwise use Customer Data only as necessary to provide and support the Services you request, operate and secure the Application, prevent abuse, comply with lawful instructions, and meet legal obligations. This includes displaying records to your Authorized Users and sharing documents with Recipients or integrations you authorize.

The permission above does not grant us ownership of Customer Data or rights to use its business-record content for unrelated marketing or AI training. Personal information, including account, billing, usage, and diagnostic information, is handled as described in the Privacy Policy.

You are responsible for having the rights and lawful authority to submit Customer Data, authorize its processing, and share it with others. You are also responsible for its accuracy and for giving notices and obtaining permissions required for your own business activities.

We treat Customer Data as confidential and may use personnel and service providers to perform the authorized processing described above. Access may be necessary to fulfill customer requests, provide support, address security incidents or abuse, or comply with law. Accessing your Application account on your behalf requires your permission. Nothing in these Terms prevents processing or disclosure required by law.

8. EXPORT, RETENTION, AND DELETION

An authorized Customer representative may contact support to request an export while Customer Data remains available, subject to verification of the requester’s authority.

We may delete account data once at least 12 months have passed since subscription or trial access ended, provided access has not been restored. An active paid subscription is not treated as expired merely because users do not log in. Deletion is discretionary rather than automatic at 12 months. This policy does not guarantee that records will remain recoverable or be retained indefinitely.

You may request earlier deletion through support. The 12-month threshold does not delay a valid earlier deletion instruction or override applicable law. Records needed for legal, tax, accounting, security, or dispute-related obligations may be retained only as permitted by law and for the relevant purpose.

Closing an account, canceling renewal, exporting records, and deleting data are separate actions. Retaining data does not entitle you to continuing paid Application access. You are responsible for preserving copies needed for your business and recordkeeping obligations.

Free Tool documents are governed by Section 9 rather than this account-retention policy.

9. FREE TOOLS

The Free Tools are separate from the Application.

You may use, customize, download, print, and share templates and generated documents for your own business, including providing them to clients, vendors, and employees. You retain rights in the information and original content you supply. Cinderblock retains rights in its software, designs, template structure, and other underlying materials.

You may not resell or sublicense the Free Tools themselves, redistribute our template collection as a competing library, or copy the software to offer a competing service without our written permission. These restrictions do not prohibit ordinary business use and sharing of your completed documents.

Keep your own downloaded or printed copies of Free Tool documents. The Privacy Policy and Cookie Policy describe Free Tool data handling and browser storage.

We may modify, limit, or discontinue Free Tools. They do not include guaranteed storage, recovery, uptime, or ongoing availability.

10. DOCUMENTS, CALCULATIONS, AND BUSINESS RESPONSIBILITIES

The Services help organize business information and produce records. They do not provide legal, tax, accounting, engineering, employment, or other regulated professional advice, and they do not guarantee profitability, collection of payments, or compliance with local requirements.

You are responsible for reviewing inputs, calculations, outputs, scope descriptions, prices, taxes, payment terms, signature requirements, and document wording before using or sharing them. Templates and generated documents may require changes for your jurisdiction, trade, or transaction.

Time records and calculations do not establish compliance with employment, wage, tax, or accounting requirements. Receipts and paid or settled statuses record supplied information; they do not independently verify settlement or transfer funds.

You are responsible for the work you perform and the business decisions you make. Cinderblock is not the contractor, employer, project supervisor, or party to the underlying work agreement.

11. RECIPIENT FEATURES AND ELECTRONIC SIGNATURES

The Application may let Customers send links for Recipients to review, accept, sign, or pay documents. Availability depends on the plan and enabled features, subject to the abuse-prevention restrictions in Section 5.

Customers are responsible for document content, identifying appropriate Recipients, and giving legally required notices and obtaining necessary permissions. Share links only with intended Recipients. A link may allow access to the document without an Application account; anyone possessing it may be able to access the associated information depending on the feature.

If you are a Recipient, review the document before taking action. By using a feature presented as signing or accepting a document, you intend that action to serve as your electronic signature or acceptance and represent that you are authorized to act for the person or business identified. Do not sign or accept on another person’s behalf without authority.

Cinderblock does not guarantee a signer’s identity or authority, or the enforceability of a document.

Recipients should keep a copy of documents they accept or sign.

We may send transactional confirmations and receipts on the Customer’s behalf and notify the Customer of document views or actions. Opening or acting on a document does not by itself enroll a Recipient in Cinderblock marketing.

The underlying document and transaction are between the Customer and Recipient. Questions about work, scope, pricing, refunds, or performance should be directed to the Customer. Cinderblock does not become a party to their contract by hosting a link or facilitating an action.

12. CUSTOMER PAYMENTS AND THIRD-PARTY INTEGRATIONS

Payments between Customers and their clients are processed by third-party payment providers, including Stripe and Sola Payments, formerly Cardknox. Payment services are subject to the relevant provider’s agreements, verification requirements, fees, processing rules, and availability.

The Customer is responsible for the underlying sale, payment amounts, authorizations, applicable taxes, refunds, disputes, and chargebacks, subject to the payment provider’s terms and applicable law. Recipients authorize payments through the consent and payment instructions presented in the relevant workflow.

Payment records and status messages do not guarantee final settlement, successful collection, or the absence of reversals.

For optional integrations, including QuickBooks Online, you are responsible for your authority to connect an account, the permissions you grant, and reviewing synchronized information.

Third-party providers control their own services. We do not guarantee their availability or performance.

13. ACCEPTABLE USE, INTELLECTUAL PROPERTY, AND API ACCESS

You must not use the Services to violate law or others’ rights; send unlawful or unsolicited communications; commit fraud; upload malicious code; obtain unauthorized access; interfere with service availability; evade security or plan limits; or use another person’s credentials without permission.

You must not reverse engineer, copy, or distribute the software except where applicable law permits it notwithstanding this restriction. You must not resell access or falsely represent an affiliation with Cinderblock without written authorization. Nothing here prevents uses expressly permitted in Section 9 or the normal sharing of your own business records.

Cinderblock and its licensors retain rights in the Services, software, branding, and underlying materials. Except for the permissions expressly granted, no intellectual property rights are transferred. Third-party and Customer materials remain subject to their respective owners’ rights.

If API access becomes available, its use is subject to these Terms and any applicable documentation, authentication requirements, rate limits, and additional terms disclosed for the API. You are responsible for protecting credentials and authorizing integrations. This provision does not promise that an API is currently available or will be released.

14. SUSPENSION, TERMINATION, AND DISCONTINUATION

We may restrict or suspend access where reasonably necessary to address nonpayment, material violations of these Terms, suspected fraud or spam, security threats, harm to the Services or others, or legal requirements.

We may act immediately where necessary to protect the Services or others, prevent ongoing abuse, or comply with law. For other issues, we may give notice and an opportunity to resolve them before suspending or terminating access. We may terminate an account for serious or repeated violations or issues that cannot reasonably be resolved.

Suspension or termination for a Customer’s breach does not create an entitlement to refunds or relieve properly incurred payment obligations, except where applicable law requires otherwise.

We may discontinue all or part of the Services, including ending business operations. Where reasonably practicable and legally permitted, we will give notice and an opportunity to retrieve available Customer Data. The nonrefundability provisions in Section 6.4 apply to the extent permitted by applicable law. Discontinuation does not exclude any refund or other remedy required by applicable law.

15. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, FREE TOOLS, TEMPLATES, AND CALCULATORS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT FOR OBLIGATIONS EXPRESSLY SET OUT IN THESE TERMS OR REQUIRED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, FREE FROM ALL SECURITY RISKS, COMPATIBLE WITH EVERY DEVICE, OR SUITABLE FOR EVERY BUSINESS OR LEGAL REQUIREMENT. NO INFORMAL ADVICE OR SUPPORT COMMUNICATION CREATES A WARRANTY UNLESS WE EXPRESSLY AGREE TO IT IN WRITING.

NOTHING IN THESE TERMS EXCLUDES ANY WARRANTY, RIGHT, LIABILITY, OR REMEDY THAT APPLICABLE LAW DOES NOT ALLOW TO BE EXCLUDED.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CINDERBLOCK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, USE, OR DATA ARISING FROM THE SERVICES OR THESE TERMS.

SUBJECT TO THE EXCEPTIONS BELOW, CINDERBLOCK’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID TO CINDERBLOCK FOR THE AFFECTED APPLICATION ACCOUNT DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR FREE TOOLS, TRIALS, AND RECIPIENT USE FOR WHICH YOU HAVE PAID NO SUBSCRIPTION FEES, THIS FEE-BASED LIMITATION APPLIES ONLY TO THE EXTENT APPLICABLE LAW PERMITS; IT DOES NOT ELIMINATE NONWAIVABLE LIABILITY.

THIS LIMIT APPLIES REGARDLESS OF WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, OR ANOTHER LEGAL THEORY. PAYMENT AMOUNTS PROCESSED BETWEEN A CUSTOMER AND ITS CLIENT DO NOT COUNT AS FEES PAID TO CINDERBLOCK.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY TO THE EXTENT APPLICABLE LAW PROHIBITS THAT EXCLUSION OR LIMITATION.

17. CUSTOMER INDEMNIFICATION

To the extent permitted by applicable law, the Customer will defend and indemnify Cinderblock and its personnel against third-party claims arising from the Customer’s unlawful conduct, material breach of these Terms, or Customer Data that infringes third-party intellectual property or privacy rights, including resulting reasonable legal costs and amounts awarded or agreed in settlement.

This obligation does not apply to the extent a claim is caused by Cinderblock’s own breach, negligence, or misconduct.

We will give reasonably prompt notice of a claim, provide reasonable cooperation, and permit the Customer to control its defense with appropriately qualified counsel. The Customer may not settle a claim in a way that admits fault by Cinderblock or imposes a nonmonetary obligation on Cinderblock without our written consent. A delay in claim notice affects the indemnity only to the extent it materially prejudices the defense.

18. MOBILE APPLICATIONS

Use of mobile applications is also subject to applicable Apple App Store or Google Play distribution rules and any applicable end-user license agreement. App-store billing does not govern Cinderblock subscriptions purchased through Stripe.

For an application obtained through Apple, the application license is between you and Cinderblock, not Apple. The end-user license made available with the application governs its licensing, including Apple’s standard end-user license where applicable. Apple has no obligation to provide maintenance or support for Cinderblock. Cinderblock is responsible for applicable application support, product claims, and intellectual property claims to the extent required by the applicable license and law. Apple and its subsidiaries may enforce applicable Apple-specific license provisions as third-party beneficiaries. Nothing here overrides Apple’s mandatory usage rules or legally required warranty remedies.

19. CHANGES TO THESE TERMS

We may update these Terms. We will identify the updated version and effective date and provide notice of material changes to account holders by email or through the Application before those changes take effect. Additional notice or affirmative acceptance will be obtained where required by law. Changes needed urgently to address legal or security requirements may take effect sooner where permitted by law.

Changes do not retroactively alter accrued rights or pending disputes. Price increases remain subject to Section 6.5. If you do not accept an update, you may cancel renewal and stop using the affected Services. Continued use after the effective date may constitute acceptance where permitted by applicable law and the notice provided.

20. GOVERNING LAW AND DISPUTES

These Terms are governed by Florida law, without regard to conflict-of-laws rules, except where applicable mandatory law requires otherwise.

Subject to the consumer exceptions below and applicable mandatory law, disputes arising from these Terms or the Services will be brought in the state courts located in Broward County, Florida, or the United States District Court for the Southern District of Florida where federal jurisdiction exists. The parties consent to those courts’ jurisdiction to the extent permitted by applicable law.

Nothing in this section limits any mandatory consumer rights concerning jurisdiction or venue.

Consumer exceptions

The Florida forum requirement above does not apply to consumers based in the European Union, United Kingdom, Switzerland, Norway or Iceland. These exceptions apply to anyone who qualifies as a consumer, including a Recipient where applicable.

UK Consumers

Consumers based in England and Wales may bring legal proceedings in connection with these Terms in the English and Welsh courts. Consumers based in Scotland may bring legal proceedings in connection with these Terms in either the Scottish or the English courts. Consumers based in Northern Ireland may bring legal proceedings in connection with these Terms in either the Northern Irish or the English courts.

You may contact us to seek an informal resolution. Doing so does not prevent either party from seeking urgent relief, meeting a filing deadline, or exercising legal rights.

20.1 US Users: jury-trial waiver

FOR DISPUTES BETWEEN CINDERBLOCK AND A USER BASED IN THE UNITED STATES, TO THE EXTENT PERMITTED BY APPLICABLE LAW, CINDERBLOCK AND THE USER EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN AN ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

20.2 US Users: individual claims and class-action waiver

FOR DISPUTES BETWEEN CINDERBLOCK AND A USER BASED IN THE UNITED STATES, TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS OR COLLECTIVE ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

THESE WAIVERS DO NOT LIMIT RIGHTS OR REMEDIES THAT APPLICABLE LAW DOES NOT ALLOW TO BE WAIVED, OR PREVENT REPORTING A MATTER TO A GOVERNMENT AUTHORITY. IF EITHER WAIVER IS HELD UNENFORCEABLE, IT WILL BE SEVERED TO THE EXTENT REQUIRED, AND THE REMAINING TERMS, INCLUDING THE OTHER WAIVER WHERE ENFORCEABLE, WILL CONTINUE TO APPLY. THESE PROVISIONS DO NOT REQUIRE ARBITRATION; THE COURT PROVISIONS ABOVE CONTINUE TO GOVERN.

21. GENERAL PROVISIONS

These Terms and applicable subscription orders constitute the agreement concerning the Services, together with any additional agreement the parties expressly enter into. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision is not a waiver of future enforcement.

We may assign the agreement in connection with a merger, reorganization, sale of the relevant business or assets, or other lawful business transfer, subject to applicable law and continuing data protection obligations. A Customer may not assign or transfer its agreement without our prior written consent.

Neither party is responsible for a failure or delay caused by events beyond its reasonable control to the extent permitted by law. This does not excuse properly due payment obligations or eliminate mandatory legal rights.

The parties are independent contractors. These Terms do not create employment, agency, partnership, or a joint venture. Except for applicable Apple provisions or rights required by law, these Terms do not grant rights to unrelated third parties.

Provisions intended by their nature to survive termination remain effective, including accrued payment obligations, confidentiality, data return and deletion obligations, intellectual property, disclaimers, liability limitations, indemnification for relevant conduct, and dispute provisions. Permission to process Customer Data survives only as needed for authorized retention, return, deletion, or legal obligations; it does not continue indefinitely for unrelated use.

22. CONTACT

For support, data export or deletion requests, questions about these Terms, or notices concerning your account, contact Cinderblock through https://cinderblock.com/contact/ or the support channels provided in the Application.
